1 Acceptance of Terms

Welcome to Fokus Reader, a product of Fokus Intelligence Inc. (“Fokus Intelligence,” “we,” “us,” or “our”), a company incorporated in the Province of Quebec, Canada, with its principal office in Montréal.

By accessing or using the Fokus Reader application, website at fokusintelligence.com, or any related services (collectively, the “Service”), you (“User” or “you”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization (such as a school, university, or company), you represent and warrant that you have the authority to bind that organization to these Terms.

2 Service Description

Fokus Reader is an AI-powered intelligent reading application designed to make knowledge accessible to everyone, including individuals with reading difficulties, visual impairments, and language barriers.

2.1 Core Features

The Service provides, but is not limited to, the following features:

• E-book Reading: Support for EPUB, MOBI, AZW3, TXT, PDF, PNG, and JPEG file formats, with customizable reading settings including fonts, font size, line spacing, paragraph spacing, background themes, and page layout.
• Text-to-Speech (TTS): Multilingual read-aloud functionality with support for English, French, Chinese, Spanish, German, and Japanese, with adjustable voice, pitch, and speed settings, and synchronized sentence highlighting.
• AI-Powered Tools: AI text explanation, Google Translation, Wikipedia integration, OCR text extraction from images, and AI-powered news summarization in multiple languages.
• RSS News Reader: RSS feed subscription and reading with AI-based summarization and translation.
• Digital Library: Access to Gutenberg Digital Library with search and categorization, plus AI Agent-powered extended book search across multiple sources.
• Annotation & Notes: Text highlighting, note-taking, and note export functionality.

2.2 Availability

Features and availability may vary depending on your subscription plan, geographic location, and device capabilities. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3 User Accounts

3.1 Account Registration

To access certain features of the Service, you must create an account. You may register using:

• Email address with email verification
• Google OAuth authentication

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at contact@fokusintelligence.com of any unauthorized use of your account. Fokus Intelligence is not liable for any loss arising from unauthorized use of your account.

3.3 Account Termination by User

You may delete your account at any time through the app settings. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.

4 Subscriptions & Payments

4.1 Subscription Plans

Fokus Reader offers multiple subscription tiers:

4.2 Billing & Renewals

Paid subscriptions are billed in advance on a recurring basis (monthly or yearly). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

4.3 Student Verification

Student pricing requires verification through a valid .edu email address or a photo of your student ID. The student discount remains active for as long as you remain enrolled and can provide valid verification upon request.

4.4 Cancellation

You may cancel your subscription at any time through Settings in the app. Upon cancellation:

• You will retain access to paid features until the end of your current billing period.
• No refunds will be provided for the remaining unused portion of a billing period.
• Your account will revert to the Basic (Free) plan after the billing period ends.

4.5 Price Changes

We reserve the right to adjust subscription pricing. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

5 Free Trial

The Pro plan may include a 7-day free trial. No credit card is required to start a free trial. At the end of the trial period, you may choose to subscribe to a paid plan or continue using the free Basic plan.

Free trial eligibility is limited to one trial per user account. Fokus Intelligence reserves the right to modify or discontinue the free trial offer at any time.

6 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to upload, distribute, or store any content that infringes on intellectual property rights of others.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use automated systems, bots, or scripts to access the Service in a manner that exceeds reasonable usage.
• Circumvent, disable, or interfere with security-related features of the Service.
• Share your account credentials with others or allow multiple users to access a single account.
• Use the AI features to generate harmful, misleading, or illegal content.
• Resell, sublicense, or commercially redistribute the Service or any content obtained through it.
• Abuse the free tier by creating multiple accounts to circumvent usage limits.

7 Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, logos, trademarks (“FOKUS,” “Fokus Reader,” “Fokus Intelligence”), and all related content, are the exclusive property of Fokus Intelligence Inc. and are protected by Canadian and international intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

7.3 Third-Party Content

Books available through the Gutenberg Digital Library are in the public domain. However, other content accessed through the Service may be subject to third-party copyright protections. You are responsible for ensuring your use of such content complies with applicable copyright laws.

8 User Content

8.1 Your Content

You retain ownership of all content you upload to the Service, including e-books, documents, notes, and highlights (“User Content”). By uploading User Content, you grant Fokus Intelligence a limited license to process, store, and display such content solely for the purpose of providing the Service to you.

8.2 Responsibility

You are solely responsible for the legality of any content you upload. Fokus Intelligence does not monitor uploaded content but reserves the right to remove content that violates these Terms or applicable law.

8.3 Data Portability

You may export your notes and highlights at any time using the note export feature. Upon account deletion, we will provide you with a reasonable period to export your data before it is permanently removed.

9 AI-Powered Features

9.1 AI Explanations & Summaries

Our AI-powered text explanation, news summarization, and content analysis features are designed to assist your understanding. AI-generated content is provided for informational purposes only and may not always be accurate, complete, or up-to-date.

9.2 AI Book Search Agent

When a book is not found in the Gutenberg library, our AI Agent may search additional sources and provide external purchase links (e.g., Amazon, Google Books). Fokus Intelligence is not responsible for the availability, pricing, or quality of third-party products or services linked through this feature.

9.3 OCR (Optical Character Recognition)

OCR features extract text from images for reading and translation purposes. Accuracy may vary depending on image quality, language, and formatting. We do not guarantee 100% accuracy of OCR-extracted text.

9.4 Limitations

AI features are subject to usage limits based on your subscription plan. You agree not to rely solely on AI-generated outputs for critical decisions. Fokus Intelligence disclaims all liability for actions taken based on AI-generated content.

10 Third-Party Services

The Service integrates with third-party services including, but not limited to:

• Google Services: Google OAuth (authentication), Google Translation
• Wikipedia: Content definitions and explanations
• Gutenberg Project: Public domain digital library
• RSS Feeds: Third-party news and content sources
• External Bookstores: Amazon, Google Books, and other retailers (via affiliate links)

These third-party services are governed by their own terms of service and privacy policies. Fokus Intelligence is not responsible for the availability, accuracy, or practices of third-party services. Your use of such services is at your own risk.

11 Accessibility Commitment

Core accessibility features — including customizable fonts (such as OpenDyslexic), adjustable text size, line spacing, background themes, and text-to-speech — are available on all plans, including the free Basic plan. We will never charge for fundamental accessibility features.

12 Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points include:

• We collect only the information necessary to provide and improve the Service.
• We do not sell your personal data to third parties.
• Your uploaded books and documents are processed solely to deliver the Service to you.
• We comply with applicable Canadian privacy legislation, including Quebec’s Law 25 (Act respecting the protection of personal information in the private sector) and the Personal Information Protection and Electronic Documents Act (PIPEDA).

13 Termination

13.1 Termination by You

You may stop using the Service and delete your account at any time.

13.2 Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms or our Acceptable Use policy.
• Your use poses a security risk to the Service or other users.
• Required by law or regulatory authorities.
• We discontinue the Service (with at least 30 days’ prior notice).

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitation of liability.

14 Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Fokus Intelligence does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI-generated content will be accurate, complete, or reliable.
• OCR text extraction will be free from errors.
• Third-party services and content integrated into the Service will remain available.
• The Service will meet your specific requirements.

15 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOKUS INTELLIGENCE INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to Fokus Intelligence in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.

16 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montréal, Quebec, Canada.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

17 Changes to These Terms

We may update these Terms from time to time to reflect changes to our practices, features, or legal requirements. When we make material changes, we will:

• Post the revised Terms on our website with an updated “Effective Date.”
• Notify you via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Service before the new Terms take effect.
